These Terms of Service ("Terms") govern your access to and use of the Mirie platform, website, and related services (collectively, the "Platform") operated by Mirie AI Inc. ("Mirie," "we," "us," or "our"). By accessing or using the Platform, you agree to be bound by these Terms.
1. Eligibility. The Platform is intended for use by businesses and their authorized representatives. You represent that you have the legal authority to enter into these Terms on behalf of your organization. The Platform is not intended for use by individuals acting in a personal consumer capacity.
2. Description of Services. Mirie provides a white-label B2B platform that enables Brand Partners to develop and deploy voice-interactive companion applications for children's audiences. The Platform includes character configuration tools, a no-code Studio, a parent trust layer, compliance infrastructure, and analytics dashboards. Mirie does not operate consumer-facing applications. Brand Partners are solely responsible for the design, deployment, operation, and legal compliance of any end-user applications built using Mirie's infrastructure.
3. Account Registration. Access to the Platform requires registration. You agree to provide accurate and complete information and to keep your account credentials confidential. You are responsible for all activity that occurs under your account. Notify us immediately at hello@mirie.ai if you suspect unauthorized access.
4. Brand Partner Responsibilities. As a Brand Partner, you agree to use the Platform only for lawful purposes and in accordance with these Terms; comply with all applicable laws and regulations, including COPPA, PIPEDA, and any other children's privacy or data protection laws applicable to your deployment; obtain all necessary consents from end users, including verifiable parental consent where required; ensure that any applications you deploy using Mirie infrastructure include appropriate privacy policies and terms of service for your end users; not use the Platform to collect, process, or store personal information from children in violation of applicable law; not reverse engineer, copy, or attempt to extract the underlying source code or AI models from the Platform; and not use the Platform to develop competing products or services.
5. Children's Safety and Compliance. Mirie's infrastructure is architected so that AI does not interact directly with children. Brand Partners must maintain this architectural integrity in any consumer application deployed using Mirie infrastructure. Brand Partners must not modify or circumvent Mirie's safety architecture in any way that would expose children to direct AI interaction or cause non-compliance with COPPA or applicable children's privacy laws.
6. Intellectual Property. Mirie retains all rights, title, and interest in the Platform, including all underlying technology, AI models, software, and infrastructure. These Terms do not transfer any intellectual property rights to you. You retain ownership of your own IP, brand assets, and character designs that you provide to Mirie. By providing such assets, you grant Mirie a limited license to use them solely for the purpose of providing the Platform services to you.
7. Fees and Payment. Access to the Platform may be subject to fees as set out in your separate agreement with Mirie. All fees are exclusive of applicable taxes. Payment terms are as specified in your agreement.
8. Confidentiality. Each party agrees to keep confidential any non-public information of the other party disclosed in connection with the Platform, and to use such information only for the purpose of these Terms. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
9. Disclaimer of Warranties. THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. MIRIE DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
10. Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MIRIE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, EVEN IF MIRIE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. MIRIE'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER OR RELATED TO THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU TO MIRIE IN THE THREE MONTHS PRECEDING THE CLAIM.
11. Indemnification. You agree to indemnify, defend, and hold harmless Mirie and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any application you deploy using Mirie infrastructure.
12. Term and Termination. These Terms remain in effect for as long as you use the Platform. Mirie may suspend or terminate your access at any time for violation of these Terms or for any other reason with reasonable notice. You may terminate your account by contacting hello@mirie.ai. Sections relating to intellectual property, confidentiality, disclaimer, limitation of liability, and indemnification survive termination.
13. Governing Law. These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Ontario, Canada.
14. Changes to These Terms. We may update these Terms from time to time. We will notify you of material changes with reasonable notice. Continued use of the Platform following notice constitutes acceptance of the updated Terms.
